Net thirty (30) days from date of invoice. In consideration of Weston Nurseries, Inc., extending credit to the Applicant. The Applicant agrees to pay
for all items delivered or services rendered to, or at the request of, the Applicant, in accordance with the terms of each invoice. Applicant agrees that
each of the terms and conditions of sale stated on the invoice shall be a term of the contract of each sale from WESTON NURSERIES, INC. to the
Applicant. Applicant acknowledges that a monthly finance charge of 1 ½% per month (18% per annum) or at a rate not to exceed lawful limits shall
be charged on all sums due WESTON NURSERIES, INC. which have not been paid by the due date, and Applicant agrees to promptly pay said
finance charge. An additional finance charge, computed on the same basis, will be due and payable every thirty (30) days thereafter. Waiver by
WESTON NURSERIES, INC. of any one or more finance charges shall not be deemed to be a waiver of future finance charges. Applicant further
agrees that with regard to such finance charges, Applicant and WESTON NURSERIES, INC. are parties to a written commercial contract. Should it
become necessary to place the account with a collection agency or attorney, the Applicant agrees to pay all collection costs, court costs and attorney
fees in addition to all other sums due. Application authorizes WESTON NURSERIES, INC. or its agents to obtain credit and financial information
concerning the Applicant at any time and from any source, as well as verify credit and bank references. The undersigned warrants that the
information in this application is true and correct, that the above agreement has been carefully read and the Applicant understands it completely.
This agreement will not be accepted for processing without a valid officer’s signature and date where required.

Guarantee

For consideration of WESTON NURSERIES, INC. extending credit to the above named Applicant, I/we agree to personally guarantee to WESTON NURSERIES, INC. the payment of any obligation of the above company, and I/we herby agree to bind myself/ourselves to pay you on demand any sum which may become due to you by the Applicant whenever the Applicant shall fail to pay the same. It is understood that this guarantee shall be a continuing and irrevocable guaranty and indemnity for such indebtedness of the Applicant. I/We do hereby waive notice of default, non-payment and notice thereof and consent to any modification or renewal of the credit agreement hereby guaranteed. The undersigned personal guarantor, recognizing that his or her individual credit history may be a necessary factor in the evaluation of this personal guarantee, hereby consents to and authorizes the use of a consumer credit report on the undersigned individual(s), from time to time as may be needed, in the credit evaluation process. If the credit is granted, it is understood that the conditions set forth in the above statement of terms shall apply to any transaction with the Applicant.
